Article I: Name
Section 1
The name of the organization shall be SHADES, and here after referred to as such.
Article II: Purpose
Section 1
The purpose of this organization shall be fostering connections between the multicultural LGBTQA communities at Ohio University. We welcome people of color who are at various stages of understanding the coming our process, questioning or accepting their sexuality and/or understanding the LGBTQA communities. SHADES is intended to be a safe space where members can speak freely.
Article III: Affiliations
Section 1
This organization is affiliated with the Lesbian, Gay, Bisexual and Transgender Center, the Multicultural Center, and the Human Rights Coalition of Ohio University.
Article IV: Membership
Section 1
The majority of the membership of this organization shall consist of enrolled Ohio University students.
Section 2
This organization and its members shall not discriminate against any individuals for the reasons of race, national origin, color, religion, gender, age, veteran status, sexual orientation, and/or disability.
Article V: Officers
Section 1
The officers of this organization shall consist of:
A.Co-President 1 – The co-president must equally share responsibility of running each meeting and taking charge when necessary. Responsibilities include developing the agenda for each meeting, updating and setting the organizations calendar for the academic school year with input from other president (events, meetings, and other miscellaneous goings on), to ensure unity and clear communication within the group, to be the official decision maker of the groups happenings, to be a support system for members in all aspects of student life, to attend SAC meetings when the organization is in need of funds.
B.Co- President 2 - The co-president must equally share responsibility of running each meeting and taking charge when necessary. Responsibilities include updating and setting the organizations calendar for the academic school year with input from other president (events, meetings, and other miscellaneous goings on), to ensure unity and clear communication within the group, to be the official decision maker of the groups happenings, to be a support system for members in all aspects of student life, sending out communication when necessary to members of Ohio University or outside communities, to find and implement at least one community service outing per quarter.
C.Secretary – The secretary shall keep minutes during meetings where official business is discussed. Examples are events affecting the Ohio University or SHADES community. The secretary shall notify SHADES members of weekly meetings and events through e-mail, Facebook, or announcements. The secretary must attend every meeting and arrive on time and if this cannot be accomplished they must notify either co-president in by a day in advance. The secretary should submit a written log of SHADES related activities.
D.Treasurer – The treasurer shall be in charge of all funds regarding the organization. The treasurer duties shall be to attend all SAC meetings along with one of the Co-Presidents when necessary as well as attend all treasurer workshops provided by Ohio University. The treasurer shall be entrusted with the receipts, care and dispersion of funds of the organization. The treasurer must attend every meeting and arrive on time and if this cannot be accomplished they must notify either co-president in by a day in advance. The treasurer should submit a written log of SHADES related activities.
E.Webmaster/mistress – The webmaster/mistress shall keep the SHADES website current and up to date at all times. Including pictures, fliers, events, information, and keeping up to date links to other websites. The webmaster/mistress must attend at least five meeting a quarter and must arrive on time and if this cannot be accomplished they must notify either co-president in by a day in advance. The webmaster/mistress should submit a written log of SHADES related activities.
F.Historian - The group historian and shall keep archives and photos, fliers and miscellaneous material from events held by SHADES. The historian must also attend the Human Rights Coalition events and meetings and report back to the SHADES in the following meeting or via e-mail. In the absence of an historian the secretary shall assume the duties. The historian should submit a written log of SHADES related activities.
Section 2
The qualifications for each office are that each of the officers must be a student at Ohio University and on good academic standing at the time of service. At least one co-president should be out to the Ohio University community and all executive board members should be members of the SHADES community.
Section 3
The term for each office shall be a full academic school year.
Section 4
Should an officer’s position become vacant during their term, an open election will take place at a given meeting to fill the position.
Article VI: Advisor
Section 1
The organizations advisor must be a member of the faculty, administration, or staff of Ohio University.
Section 2
The duties and responsibilities of the advisor shall be to cosign all financial transactions, provide guidance and ideas upon request. The advisor shall be in contact with co-presidents as much possible and have at least two face to face meetings. The advisor must attend at least one meeting per quarter.
Section 3
Should the position of advisor become vacant during the academic school year the co-presidents will present ideas for new advisors and the group will vote on a new advisor who is thought to be qualified.
Article VII: Meetings
Section 1
Regular meetings of SHADES shall be held at 8:10 PM ever Tuesday at LGBT Center in Baker 307. This is subject to change.
Section 2
Special meetings of the organization shall be held whenever necessary, and the Co-Presidents have the power to call these meetings. In addition the executive board will meet weekly; the time and place will be set at the beginning of each academic school year.
Article VIII: Amendments
Section 1
The constitution shall be amended by a vote of 2/3 majority of the membership at any regular or special meeting called by the Co-Presidents.
Section 2
Provision for advance notice shall be by using school e-mail accounts, Facebook, and announcements at two or more consecutive meetings.
By-Laws of SHADES
Article I: Membership
Section 1
The only requirement for membership is the attendance of at least two meetings a quarter, most events hosted by SHADES, and participating in at least two community service projects a year.
Section 2
There shall be no dues for this organization.
Section 3
Membership’s responsibilities shall include keeping the information divulged at meetings confidential and all members state and keep a vow of privacy. The vow of privacy is “I hereby promise to keep all information divulged by any member present confidential or in other words what happens here stays here and I recognize that by abusing this vow, I will be required to meet with the co-presidents to discuss my actions and the consequences.”
Section 4
Membership shall be terminated by overall vote of the group with the majority rules. Grounds for termination shall be breaking the confidentiality vow and threatening other members physically, and emotionally.
Article II: Selection of Officers
Section 1
The selection of officers shall take place by nominations and are chosen by majority vote. Eligibility requirements must be met at the time of nominations and voting. Elections will be held during the fifth week of spring quarter and the transition period to start the sixth week.
Section 2
Voting must take place by paper ballot in the meeting during the fifth week.
Section 3
The provisions for removal of an officer include not upholding duties.
Article III: Selection of Advisor
Section 1
The selection of advisor will be done by having the Co-presidents take suggestions of faculty members who qualify as a suitable advisor and after Co-presidents and decide on the advisor will then present to the general body.
Section 2
The Co-Presidents with input from the group will decide on the removal of the advisor.
Article IV: Committees
Section 1
All permanent committees shall be formed when necessary whenever the Executive board sees fit.

Article V: Rules of Order
Section 1
SHADES shall be governed by parliamentary procedures.
Article VI: Amendment

These by-laws may amended by a vote of 2/3 vote.
