I. PREREQUISITES
Business Law 255 and junior rank.

II. COURSE DESCRIPTION
This course covers agency, partnership, corporation law, antitrust, and securities regulation, especially the rights, powers, and limits of managers in relation to duties and responsibilities to their organization, owners, creditors, employees, customers, state and public.

The course and the examination cover the following textbook chapters, which you should read in the order listed:

Regulation of Business
Chapters 19 and 20
Chapters 31-33
Chapters 34-37
Chapters 44, 41, 43, and 42

IV. NATURE OF THE EXAMINATION
The examination consists of two parts: one part requires you to answer eight essay questions (10 points each); the other part is objective questions. The essays are of two types—those dealing with legal issues which require you to solve the problem by giving complete reasons for the decision and recognizing legal issues involved in the problem, and those which require you to extensively describe important concepts of the course. The objective questions (165 total points) are multiple-choice, true/false, and case problems.

You will have three hours to complete the examination. All materials you will need will be provided; you are not permitted to use textbooks, notes, or other supplementary aids.

V. GRADING CRITERIA
Your total points on the examination will be converted to a percent (of 245 possible points). The final grade will be assigned on the following scale:

90 - 100 percent = A
80 - 89 percent = B
70 - 79 percent = C
60 - 69 percent = D
Below 60 percent = F
